Terms of Service
These Terms govern merchant accounts, Kundan HQ subscriptions, public merchant storefronts, and every person who accesses the platform.

By creating an account, purchasing a subscription, checking the acceptance box at checkout, accessing a merchant workspace, or using a Kundan HQ-powered storefront, you agree to these Terms. If you use Kundan HQ for a company or other organization, you represent that you have authority to bind it.
1. Kundan HQ and the Service
Kundan HQ (“Kundan HQ,” “we,” “us,” or “our”) provides a hosted jewelry business operating system. Features may include supplier and shipment records, inventory and labels, live-sale and offline claims, customer records, payment tracking, shipping workflows, reports, public merchant websites, carts and checkout, online order management, transactional email, Stripe Connect tools, automated tax tools, photo tools, voice-assisted entry, and AI-assisted product titles or workflow suggestions (collectively, the “Service”).
Kundan HQ is a software provider. We are not a jewelry seller, supplier, shipping carrier, tax preparer, accountant, lawyer, payment institution, insurer, or fiduciary. Merchants remain independent businesses and are responsible for their products, employees, customers, promises, records, and legal obligations.
2. Eligibility and authority
A merchant account owner must be at least 18 years old, legally capable of entering a contract, and authorized to act for the named business. Storefront shoppers who are under the age of majority may use a storefront only with the involvement and permission of a parent or legal guardian. The Service is not directed to children under 13, and merchants may not knowingly enter personal information about a child under 13 unless they have all legally required authority and consent.
3. Accounts, credentials, and authorized users
- You must provide complete, current, and accurate account, business, billing, and Stripe onboarding information.
- The account owner is responsible for all activity under the account, including activity by employees, contractors, or anyone given access.
- You must use a strong password, keep credentials and password-reset links confidential, promptly remove access that is no longer authorized, and notify us at security@kundanhq.com of suspected compromise.
- You may not share an account between unrelated businesses, impersonate another person, or transfer an account without our written approval.
We may rely on instructions submitted through an authenticated account. We are not responsible for losses caused by authorized users or by a failure to secure credentials, except to the extent applicable law provides otherwise.
4. Subscription, optional services, recurring billing, and taxes
As of the effective date, the complete Kundan HQ software subscription is $99 per month with no required setup fee. A new merchant may optionally purchase Launch Concierge for a one-time $399 fee. When selected with a new subscription, the initial charge is currently $498: $399 for Launch Concierge plus the first $99 subscription month. Launch Concierge does not recur. The amount shown on the Pricing page and in Stripe Checkout immediately before purchase controls if pricing has changed.
- Initial charge. If you select the software alone, you authorize Stripe to charge $99 plus any legally required taxes. If you also select Launch Concierge, you authorize Stripe to charge $498 plus taxes.
- Automatic monthly renewal. Only the $99 software subscription renews. Stripe automatically charges the applicable monthly subscription price and taxes on each monthly billing date until cancelled.
- Price changes. We may change future subscription prices after reasonable advance notice. A price change applies no earlier than a future renewal and never retroactively. Where law requires renewed consent, we will obtain it before charging the new amount.
- Cancellation. You may cancel through the Stripe billing portal available from Settings or by contacting us. The portal will display when cancellation takes effect. Cancel before the next billing date to avoid the next charge.
- Failed payments. Stripe may retry a failed charge. We may limit editing, selling, or other paid features while an invoice is overdue, but billing interruption does not itself immediately erase workspace data.
Subscription and optional-service refunds are governed by the Subscription Refund Policy. You are responsible for taxes, duties, and governmental charges imposed on your purchase, other than taxes based on Kundan HQ’s net income.
5. Launch Concierge, onsite services, and custom work
Launch Concierge covers the launch services described on the Pricing page, which may include business discovery, initial workspace and storefront preparation, guided secure connections, a cutover plan, private workflow training, a personalized operating guide, and a follow-up launch check. It does not include physical inventory transcription, product photography, historical-record reconstruction, unlimited support, or custom software development. Scheduling and delivery depend on merchant responsiveness and availability.
Private Onsite Setup is a separate service offered only after a fit review and written scope. The advertised $5,000 service fee may include onsite entry of up to 3,000 accessible physical pieces and the preparation described on the VIP Setup page. Airfare, lodging, local transportation, meals, hardware, third-party charges, and work outside the written scope are separate. Inventory must be safe, accessible, and accompanied by readable source information. The merchant personally enters private Stripe identity, tax, banking, and payout information.
Material custom development or integrations require a separate written statement of work and additional fees. Unless a separate agreement says otherwise, improvements and reusable features developed from merchant feedback become part of Kundan HQ and may be offered to other users.
6. Merchant business responsibilities
Each merchant is solely responsible for:
- the legality, authenticity, quality, safety, description, images, availability, pricing, and delivery of its products;
- accurate inventory, supplier, cost, claim, payment, profit, tax, shipping, and customer records;
- its storefront disclosures, contact information, shipping charges, fulfillment times, return/refund policy, warranties, and customer service;
- collecting, reporting, filing, and remitting sales, use, income, customs, and other taxes for every jurisdiction where the merchant has an obligation;
- complying with consumer-protection, advertising, accessibility, privacy, product, sanctions, import/export, precious-metal, hallmarking, and jewelry-disclosure laws that apply to its business;
- obtaining lawful permission to collect, upload, store, email, or otherwise use customer, supplier, employee, and other third-party information; and
- reviewing platform records and retaining original receipts, tax records, shipping proof, and other source documents required by law.
Reports, currency conversions, profit estimates, tax calculations, AI output, and automation are operational aids and may contain errors. Merchants must independently verify information before relying on it for financial, tax, legal, purchasing, pricing, or fulfillment decisions.
7. Merchant storefronts and merchant of record
Public storefronts are operated by the merchant identified on that storefront. For storefront payments created as direct charges through Stripe Connect, the connected merchant—not Kundan HQ—is the seller and merchant of record. The customer’s transaction is with that merchant. Sale proceeds are paid to the merchant’s connected Stripe account, and the merchant is responsible for Stripe processing fees, refunds, disputes, negative balances, receipts, taxes, fulfillment, and customer support.
Kundan HQ does not take title to products, inspect merchandise, guarantee a transaction, or hold merchant sale proceeds. We may provide the checkout technology, synchronize order information, relay emails, and allow a merchant to initiate refunds, but those tools do not make Kundan HQ the seller.
8. Storefront shoppers, claims, carts, and orders
- Name claims. A name claim expresses interest and temporarily reserves an item for the period chosen by the merchant. It is not a purchase, payment, guarantee, layaway contract, or promise that the merchant will complete a sale.
- Cart availability. Adding an item to a cart does not guarantee inventory. An item is not purchased until Stripe confirms payment and the order confirmation is created.
- Checkout total. Product price, shipping, and any Stripe-calculated tax are shown before payment. The merchant controls product pricing and shipping rules and determines whether automatic tax is enabled.
- Fulfillment. The merchant—not Kundan HQ—packs, ships, delivers, and supports the order. Carrier scans and estimated delivery dates are controlled by the carrier.
- Returns and refunds. The merchant’s displayed policy applies, subject to non-waivable consumer rights. Contact the merchant first about damaged, incorrect, delayed, missing, cancelled, or returned orders.
Shoppers authorize the merchant and Stripe to process information necessary to complete the transaction. Kundan HQ may send purchase, refund, dispute, and shipping messages on the merchant’s behalf.
9. Stripe, Stripe Connect, tax tools, and disputes
Stripe processes Kundan HQ subscriptions and merchant storefront payments. Use of Stripe is also governed by Stripe’s applicable agreements and privacy policy. Merchants must complete and maintain Stripe Connect onboarding, provide accurate beneficial-owner and business information, comply with Stripe’s restricted-business rules, and keep charges and payouts enabled.
Stripe Tax and related embedded tools may help a merchant configure registrations and calculate tax based on transaction details. Kundan HQ does not determine where a merchant has nexus or a registration, filing, or remittance duty. A Stripe calculation does not replace advice from a qualified tax professional.
Merchants are responsible for responding to chargebacks and disputes through Stripe, preserving evidence, and avoiding duplicate refunds. We may display dispute status or relay Stripe events but do not decide card-network disputes.
10. Electronic communications
You consent to receive electronically the agreements, notices, receipts, security alerts, billing updates, order confirmations, claim alerts, refund notices, shipping updates, and other transactional communications needed to operate the Service. Keep your email address current. Transactional emails may not include an unsubscribe link when the message is necessary to complete or update an existing transaction or account relationship. If we send marketing email, it will include any opt-out method required by law.
11. Merchant content and customer data
“Merchant Content” includes product photos and descriptions, logos, business text, customer and supplier records, uploaded files, voice-command transcripts, policies, notes, and other material submitted to the Service. As between the parties, the merchant retains ownership of its Merchant Content. The merchant grants Kundan HQ a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, format, display, and create technical derivatives of Merchant Content only as reasonably necessary to provide, secure, support, and improve the Service.
The merchant represents that it has all rights and permissions needed for Merchant Content and that public content is accurate and lawful. Do not upload Social Security numbers, full payment-card numbers, bank passwords, medical information, biometric identifiers, or other highly sensitive information unless a feature expressly requests it and we have agreed in writing.
Merchants direct how their business customer data is used. Our handling of personal information is described in the Privacy Policy. Merchants must honor valid privacy requests from their own customers and instruct us when our assistance is needed.
12. AI-assisted and voice-assisted features
Some optional or automated features may send product images, item codes, typed instructions, or voice-command transcripts to an AI service provider to generate a title, parse a command, or suggest structured information. Unless a feature expressly says otherwise, Kundan HQ does not intentionally send raw payment-card data to an AI provider.
AI output is probabilistic and may be incomplete, inaccurate, or unsuitable. The merchant must review every AI-generated title, command preview, price, quantity, customer match, and other output before using it. AI output is not professional advice, and Kundan HQ does not guarantee that it is unique or that intellectual-property rights exist in it.
13. Acceptable use
You may not use the Service to:
- violate law, sanctions, court orders, privacy rights, publicity rights, intellectual-property rights, or contractual obligations;
- sell counterfeit, stolen, unsafe, deceptive, prohibited, or unlawfully imported goods;
- commit fraud, payment abuse, money laundering, chargeback manipulation, harassment, stalking, discrimination, or exploitation;
- upload malware, scrape protected data, probe security, bypass access controls, overload the Service, or interfere with another user;
- reverse engineer, copy, resell, sublicense, or use the Service to create a competing product except where restriction is prohibited by law; or
- use automated access not provided or approved by us.
We may investigate suspected misuse and cooperate with lawful requests. We may remove public content or restrict functionality when reasonably necessary to protect users, the Service, or third parties.
14. Third-party services and equipment
The Service interoperates with services and equipment we do not control, including Stripe, Resend, OpenAI, Render, web browsers, shipping carriers, DYMO software and printers, mobile devices, social platforms, and internet providers. Their separate terms, privacy practices, fees, availability, and technical requirements apply. We are not responsible for a third party’s acts, outage, policy, content, hardware, or service, but this does not limit obligations we cannot disclaim by law.
15. Kundan HQ intellectual property and feedback
The Service, software, workflows, interface, design, documentation, templates, logos, and non-merchant content are owned by Kundan HQ or its licensors and protected by law. Subject to these Terms and payment of applicable fees, we grant the merchant a limited, revocable, non-exclusive, non-transferable right to use the Service for its internal business and its own storefront.
If you submit ideas, requests, or feedback, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation. This does not transfer ownership of the merchant’s confidential business records or product content.
16. Copyright complaints
If you believe content hosted through Kundan HQ infringes copyright, email security@kundanhq.com with your signature, identification of the copyrighted work and allegedly infringing material, its exact URL or location, your contact information, a good-faith statement that the use is unauthorized, and a statement under penalty of perjury that your notice is accurate and you are authorized to act. We may remove content and terminate repeat infringers where appropriate.
17. Changes, availability, backups, and beta features
We may add, change, suspend, or discontinue features to maintain security, comply with law, respond to providers, or improve the Service. We will use reasonable efforts to give notice before a material reduction to paid core functionality when practical. Features labeled preview, beta, test, experimental, or AI-assisted may change or be withdrawn and may be less reliable.
We use reasonable operational and backup measures, but no service is uninterrupted, error-free, or immune from data loss. Merchants must verify important records and keep independent copies of legally required source documents, tax filings, receipts, carrier records, and any data they cannot recreate.
18. Suspension, cancellation, termination, and data
You may cancel recurring billing as described above. We may suspend or terminate access for material breach, unlawful activity, security risk, nonpayment, provider restriction, or conduct likely to harm the Service or another person. When practical, we will provide notice and an opportunity to cure a remediable breach.
Cancellation stops future use and billing as shown in Stripe but does not automatically reverse prior charges or require immediate deletion of records. Subject to security, law, and account standing, we may provide a reasonable opportunity to request an export after termination. We may retain or delete information in accordance with the Privacy Policy, legal obligations, fraud prevention, dispute needs, and backup rotation. Sections that by nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, indemnity, disputes, and record-retention rights—survive termination.
19. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Kundan HQ disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. We do not warrant uninterrupted operation, perfect security, any specific revenue or business result, the accuracy of reports or AI output, the availability of a merchant product, or the acts of merchants, shoppers, carriers, payment providers, or other third parties. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
20. Limitation of liability
To the maximum extent permitted by law, Kundan HQ and its owners, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, goodwill, data, or business opportunity; or the cost of substitute services, arising from or related to the Service, even if advised that such damage is possible.
To the maximum extent permitted by law, the aggregate liability of Kundan HQ for all claims arising from or related to the Service will not exceed the greater of $100 or the subscription fees paid by the merchant to Kundan HQ during the 12 months immediately before the event giving rise to the claim. This limit does not apply to liability that cannot be limited by law, including where applicable liability for fraud, willful misconduct, or personal injury caused by negligence.
21. Merchant indemnity
To the extent permitted by law, a merchant will defend, indemnify, and hold harmless Kundan HQ and its personnel from third-party claims, damages, losses, and reasonable expenses (including attorneys’ fees) arising from the merchant’s products, storefront, Merchant Content, customer promises, tax or fulfillment obligations, violation of law, infringement, misuse of the Service, or breach of these Terms. We will provide reasonable notice and cooperation, and the merchant may not settle a claim in a way that admits fault by or imposes obligations on Kundan HQ without our written consent.
22. Governing law and disputes with Kundan HQ
Before filing a formal claim, contact security@kundanhq.com with a description of the issue and requested resolution. The parties will try in good faith for 30 days to resolve it informally.
These Terms and disputes with Kundan HQ are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Unless applicable consumer law requires otherwise, exclusive jurisdiction and venue lie in the state or federal courts serving Maricopa County, Arizona, and each party consents to those courts. These Terms do not require arbitration and do not prevent either party from seeking eligible relief in small-claims court or urgent injunctive relief.
23. General terms
These Terms, the Privacy Policy, Refund Policy, the plan and price shown at checkout, and any signed statement of work are the entire agreement concerning the Service. If a signed statement of work conflicts with these Terms, it controls only for that work. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, or sale of the Service. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. A failure to enforce a term is not a waiver. If a term is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Headings are for convenience only.
24. Changes to these Terms
We may update these Terms to reflect Service, provider, legal, or business changes. We will post the updated version and revise the effective date. If a change materially affects an existing paid subscription, we will provide reasonable advance notice by email or in the Service. Continued use after the effective date constitutes acceptance where permitted by law; if law requires affirmative consent, we will request it.
